1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Polygentic LLC ("Polygentic," "we," "us," or "our") governing your access to and use of our multi-agent workflow automation platform and services (the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into these Terms
  • You will comply with these Terms and all applicable laws and regulations
  • All registration information you provide is accurate and current

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to provide accurate, complete, and current information and to update it as necessary.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring your password meets security best practices

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we deem inappropriate or harmful to the Service or other users.

4. Service Description and Access

4.1 Service Overview

Polygentic provides a multi-agent workflow automation platform that allows you to:

  • Design and build custom AI-powered workflows
  • Execute automated tasks using AI agents
  • Integrate with third-party services and APIs
  • Manage and monitor workflow executions

4.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any such modifications or discontinuance.

4.3 Access Codes

During our invite-only phase, access to the Service requires a valid access code. Access codes are non-transferable and may be revoked at our discretion.

5. Subscription Plans and Payment

5.1 Pricing

We offer various subscription plans with different features and usage limits. Current pricing is available on our website and may be changed with 30 days' notice.

5.2 Payment Terms

  • Payments are processed through Stripe
  • Subscriptions are billed in advance on a monthly basis
  • You authorize us to charge your payment method for all applicable fees
  • All fees are non-refundable unless otherwise stated

5.3 Free Trial

We may offer a free trial period. If you do not cancel before the trial ends, you will be automatically charged for the selected subscription plan.

5.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months or unused services.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights of others
  • Transmit malicious code, viruses, or harmful content
  • Engage in unauthorized access or security breaches
  • Harass, abuse, or harm others
  • Scrape, mine, or collect data without authorization
  • Interfere with or disrupt the Service or servers
  • Use the Service for any illegal or fraudulent purpose
  • Circumvent usage limits or access restrictions
  • Resell or redistribute the Service without authorization
  • Generate spam or unsolicited communications
  • Use the Service to develop competing products or services

7. User Content and Data

7.1 Your Content

You retain all ownership rights to the workflows, data, and content you create using the Service ("User Content"). You grant us a limited license to use, store, and process your User Content solely to provide the Service.

7.2 Responsibility for User Content

You are solely responsible for:

  • The accuracy, legality, and appropriateness of your User Content
  • Ensuring you have all necessary rights and permissions
  • Complying with third-party API terms when using integrations
  • Backing up your User Content

7.3 API Keys and Credentials

When you provide API keys or credentials for third-party services, you represent that you have the right to use them and authorize us to use them on your behalf to execute your workflows. We encrypt and store API keys securely.

8. Intellectual Property Rights

8.1 Our Rights

The Service, including all software, text, images, trademarks, logos, and other content (excluding User Content), is owned by Polygentic LLC and protected by intellectual property laws. We reserve all rights not expressly granted in these Terms.

8.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

8.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use them without any obligation or compensation to you.

9. Third-Party Services and Integrations

The Service integrates with third-party services (e.g., OpenAI, Anthropic, Google). Your use of these integrations is subject to their respective terms of service and privacy policies. We are not responsible for:

  • The availability, functionality, or performance of third-party services
  • Third-party fees, costs, or usage limits
  • Third-party content, data practices, or security
  • Changes or discontinuance of third-party services

10. Disclaimers and Limitations of Liability

10.1 Service "AS IS"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

10.2 No Warranty

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • AI-generated outputs will meet your expectations or requirements
  • Defects or errors will be corrected

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POLYGENTIC LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Polygentic LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations

12. Term and Termination

12.1 Term

These Terms commence when you first access the Service and continue until terminated by either party.

12.2 Termination by You

You may terminate your account at any time by contacting support or through your account settings.

12.3 Termination by Us

We may suspend or terminate your access to the Service immediately, without notice, for:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Conduct harmful to the Service or other users

12.4 Effect of Termination

Upon termination, your right to use the Service immediately ceases. We may delete your User Content after a reasonable period. Sections of these Terms that by their nature should survive termination shall survive.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13.2 Informal Resolution

Before filing any formal claim, you agree to contact us at support@polygentic.ai to seek informal resolution of any dispute.

13.3 Arbitration

Any dispute not resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, conducted in Delaware. You waive the right to participate in class actions or class arbitrations.

13.4 Exceptions

Either party may seek injunctive or equitable relief in court for intellectual property infringement or unauthorized access to the Service.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Polygentic regarding the Service.

14.2 Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Your continued use after such changes constitutes acceptance.

14.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

14.4 Waiver

Our failure to enforce any provision shall not constitute a waiver of that provision or any other provision.

14.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without restriction.

14.6 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control.
